Key changes in ISO 37001:2025

The ISO 37001:2025 revision introduces refinements to strengthen anti-bribery management systems, ensuring organizations maintain ethical integrity while adapting to evolving compliance demands. Key updates include:

New

1. Climate Change
Organizations must now evaluate how climate change influences bribery vulnerabilities and ethical decision-making. Businesses must evaluate climate-related financial flows, policy shifts, and regulatory gaps as potential bribery risks. Emerging bribery risks in climate initiatives:

  • Financial misuse: Large-scale funding for climate projects can lead to misallocation, fraud, or unethical financial practices.
  • Regulatory manipulation: Influence over environmental policies and market structures may be exploited for personal or corporate gain.
  • Greenwashing and false claims: Misrepresentation of ESG credentials and carbon credit schemes can mislead investors and stakeholders.
  • Supply chain disruptions: Climate-driven shifts in supply chains may expose organizations to new bribery risks, particularly in international dealings.

2. Anti-bribery Culture
The standard reinforces the need for a deeply embedded ethical framework that supports anti-bribery policies. Governing body, top management and management must demonstrate commitment towards a common standard behaviour and conduct. Top management must encourage behaviour that supports Anti-bribery policy and ABMS; prevent and not tolerate behaviour that compromises Anti-bribery.

Enhanced

  • Conflicts of Interest: Enhanced guidance helps organizations proactively identify and mitigate conflicts that could compromise integrity.
  • Strengthens training and awareness: Organizations must provide structured training from the start of employment and continue at regular intervals, reinforcing ethical conduct and compliance throughout professional engagements.
  • Anti-bribery policy: Organizations to ensure it is communicated in a language that is accessible and understandable to all personnel and business associates.

Refined

  • Anti-Bribery Function: The role of anti-bribery oversight is more clearly defined, ensuring accountability and effectiveness.
  • More Harmonized terms and structure with other standards: The latest structural framework ensures seamless alignment with broader compliance and governance standards.
